New Wave Provider Agreement Addendum

This is an Addendum to the Agreement between WVMF Holdings, LLC, (“Company”), and You ("Provider") at the time of your registration on this website.

Provider agrees to have read, understood, and agree to the following terms regarding the participation in the New Wave VIP Platinum Program. Failure to abide by these may result in the removal or restriction of distribution rights and rejection and cancellation of current and future product orders by the Provider and/or payment of monetary damages.

For the consideration presented in the attached order (the "Order") The Company will provide to the Provider the products and services described in the Order.

Also, over the course of the 24 months following the signature of this Agreement, Provider agrees to:

1. Have access to a minimum of $50,000-$100,000 in working capital to successfully launch the New Wave Weight Loss program into an existing or new business;
2. Publicly follow the standard pricing as directed by New Wave, and agree to purchase weight loss products exclusively from New Wave Weight Agrees to not use any other systems or products;
3. Use reasonable efforts to market, advertise and sell the programs and products offered by the Company;
4. For the next 24 months, limit its sale of Weight loss products exclusively to those that are produced, provided and/or manufactured by New Wave and/or sold under the New Wave label;
5. Not make any effort to reproduce products, techniques, training or business practices obtained, learned or acquired through its relationship with New Wave;
6. Not disclose any information, technique, training, business practices or secrets learned through its relationship with New Wave;
7. Use reasonable efforts to follow the program and guidance provided by New Wave as determined by New Wave; and
8. Train and educate all staff to effectively, present and sell the New Wave Weight Loss Program as directed by New Wave and in compliance with the company's policies and procedures. Train and educate all patients/clients as outlined in the program guide utilizing the information and content as directed by New Wave and in compliance with New Wave policies and procedures.
